msonic Oy – General Terms and Conditions of Order and Delivery
1. General
These general terms and conditions of order and delivery (“Terms”) apply to orders for products and services between msonic Oy (business ID: 2282893-3, hereinafter referred to as “msonic”) and the customer (“Customer”), unless otherwise agreed in writing.
Placing an order with msonic is deemed to be acceptance of these Terms and Conditions.
2. Orders
Orders are placed in writing by email. The order becomes binding once msonic has confirmed the order in writing.
msonic reserves the right to refuse an order, for example due to stock status, payment defaults or other justified reasons.
3. Prices
All prices are stated in euros (€) excluding VAT, unless otherwise stated. The prices are subject to the currently valid VAT and delivery costs.
msonic reserves the right to change prices without separate notice before the order is confirmed.
4. Delivery and delivery time
Deliveries are made from msonic’s warehouse (EXW, Incoterms 2020), unless otherwise agreed.
The delivery time is stated as an estimated time and is not binding. msonic is not responsible for delays due to reasons beyond msonic’s control, such as manufacturer delays, disruptions in the logistics chain or force majeure.
5. Payment terms
Products are sold with advance payment, unless otherwise agreed. msonic has the right to charge late payment interest in accordance with the Interest Act combined with reasonable collection costs.
6. Ownership
Ownership of the products is only transferred to the customer once the full purchase price has been paid.
7. Product warranty and complaints
The products have a warranty granted by the manufacturer. The customer must inspect the delivery without delay and report any defects in writing no later than 7 days after delivery.
Any warranty returns must be agreed in advance with msonic’s customer service.
8. Limitation of liability
msonic is not liable for indirect damages, such as loss of business profit, production interruptions or other indirect damages.
msonic’s liability is limited in all cases to the purchase price of the delivered product.
9. Export control and sanctions
The customer undertakes to comply with all applicable national and international export control regulations and economic sanctions (including EU, UN, USA).
msonic has the right to cancel the order or suspend the delivery if:
- The customer, the delivery address or the end user is subject to economic sanctions;
- The products are subject to export restrictions and an export permit has not been obtained;
- There is a reasonable suspicion that the products are being used or exported in violation of the sanctions.
The customer is responsible for ensuring that the ordered products are not used or forwarded in a manner that violates any export regulations or sanctions. The customer undertakes to provide msonic with the necessary information to ensure export control.
10. Applicable law and dispute resolution
These terms and conditions are governed by Finnish law.
Any disputes shall be primarily resolved through negotiations. If no agreement is reached, the dispute shall be resolved in the Helsinki District Court.
11. Validity of the terms and conditions
These terms and conditions are valid until further notice and msonic reserves the right to change the terms and conditions. The new terms and conditions will be published on msonic’s website and will enter into force immediately, unless otherwise stated.
